I would agree it appears to be a material non disclosure problem when the 8K is required 2 days later. It's clearly material when potential milestones and future royalties worth Billions are lost/terminated to a company the size of SGMO.

 

When a CEO clearly states everything with partnerships is fine on 3/15 and has knowledge the partnership(s) was terminated as of 3/13 and follows it up with 8K on 3/17, that is lawsuit material. But IANAL.
